Terms of Service
Effective August 16, 2026
These Terms of Service ('Terms') govern access to and use of the Zentro Gym platform and related services provided by Zentro Automations ('Zentro'). By signing an order form, paying an invoice, or using the platform, you ('Client') agree to these Terms.
1. The Service
Zentro provides an AI-powered lead conversion and member retention platform for gyms and fitness studios, including automated lead response, appointment booking and reminders, follow-up sequences, and related reporting, as described in your selected plan.
2. Plans, Fees, and Payment
Client agrees to pay the monthly subscription fee and one-time implementation fee for the selected plan (Starter, Growth, or Pro), plus any add-ons, as published on our Pricing page or specified in a signed proposal.
Implementation fees become nonrefundable once setup work begins. Monthly subscription fees are billed in advance and are non-refundable for partial months. Usage above a plan's included allowance may be billed as a flat-rate add-on or a custom quote; Zentro will notify Client before adding a significant new usage charge. Unused usage does not roll over to the next billing period.
3. Term and Cancellation
Unless otherwise stated in a signed proposal, service is billed monthly and may be cancelled by either party with notice as specified in Client's order form. Cancellation takes effect at the end of the current billing period; no partial-month refunds are issued.
4. Client Responsibilities
Client is responsible for:
- ·Providing accurate business information (hours, pricing, offers, policies) used to configure the AI system
- ·Obtaining proper consent from leads and members to receive SMS, email, or other communications, consistent with our SMS Terms and Consent
- ·Reviewing and approving message templates and escalation rules during onboarding
- ·Maintaining accurate account access and promptly reporting any suspected unauthorized use
- ·Complying with applicable law in its own business operations, including membership agreements, refund policies, and advertising
5. Zentro's Responsibilities
Zentro is responsible for:
- ·Configuring and maintaining the platform in line with the information Client provides
- ·Providing support consistent with Client's plan
- ·Notifying Client of significant usage overages before billing them
- ·Maintaining reasonable security safeguards for Client and lead/member data
6. No Guaranteed Results
Zentro does not guarantee any specific business outcome, including but not limited to lead volume, appointment bookings, attendance rates, or membership sales. Results depend on factors outside Zentro's control, including Client's lead volume, offer quality, staff performance, pricing, follow-up, and sales process.
7. Intellectual Property
Zentro retains all rights to the platform, its underlying technology, and any templates or workflows not specific to Client's business. Client retains ownership of its own business information, brand assets, and customer data.
8. Confidentiality
Each party agrees to keep the other's confidential business information private and to use it only to perform its obligations under these Terms.
9. Limitation of Liability
To the maximum extent permitted by law, Zentro's total liability arising from these Terms or use of the platform is limited to the fees paid by Client in the three months preceding the claim. Zentro is not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities.
10. Termination for Cause
Zentro may suspend or terminate service if Client fails to pay amounts owed, violates the Acceptable Use Policy, or uses the platform in a way that creates legal or security risk for Zentro or third parties.
11. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
12. Changes to These Terms
Zentro may update these Terms from time to time. Material changes will be reflected by an updated effective date, and continued use of the platform after changes take effect constitutes acceptance.
